Circular Resolutions feature allows for CoSecs to circulate a single document to be signed by certain users within the board.

What is a circular resolution?

A circular resolution is a document sent to a single user or a group of users for their action once it's published. This feature allows Administrators (company secretaries) to send out important resolutions, requesting digital signatures or decisions to abstain from a group of users.

Administrators can upload any document as a circular resolution. Once the circular resolution is closed or the quorum is reached, the responses are compiled and can be added to the circular resolution document to create a finalised copy.

Create and publish a new circular resolution

To create and publish a new circular resolution, select the Board or Committee the circular resolution is for.

Go to Boards/Committees, select Circular Resolutions and follow the steps below:

1. Details

  • Click on Create Circular Resolution, an Upload screen will appear.

  • You can drag and drop or browse to upload a document (supported file types: docx, pptx, xlsx and PDF).

  • The circular resolution name is created based on the document name. You can edit the name if needed.

  • Review the document and once done, click Next.

2. Users

  • Select users who need to take action on this circular resolution.

  • Users can be selected individually or by group.

3. Settings

  • As an Administrator, you can choose email notification preferences for this circular resolution:

    • When all users have actioned this resolution.

    • When each user actions this resolution.

    • Include resolution results.​

  • Quorum can be optionally set in circular resolution. Quorum refers to the minimum number of signatures required to pass this circular resolution. If a quorum is not set, all signatures will be required to pass this circular resolution. If a quorum is set, you can choose to:

    • Close this resolution when the quorum is reached.

    • Notify when the quorum is reached.

    • Notify when the quorum has failed​

  • Set a due date. The resolution will automatically close at the end of the due day, a closed resolution can no longer be actioned by users.

    ⚠️Good to know: A closed resolution cannot be extended or reopened even if all users haven't signed.

4. Save or Publish the circular resolution.

  • To save the circular resolution for later publishing, select Save.

  • To publish the circular resolution immediately, select Publish.

    ⚠️Good to know: Users on a published circular resolution cannot be removed from that circular resolution once published.


Edit a circular resolution

ℹ️ Note: Closed or finalised circular resolution cannot be edited.

If the circular resolution is still in progress, you can edit it again by following the steps below:

  1. Select the Item Menu (three lines) next to the circular resolution and select Edit.

  2. You can then edit the Details, Users and Settings of the circular resolution.

    ⚠️Good to know: Users on a published circular resolution cannot be edited / removed once published.
